As the US Senior Legal Counsel, and our first in-house counsel in the US, you will be responsible for taking care of all legal matters of Ramp's US business and support the legal team’s high growth. The main legal team's goal is to ensure compliance with regulations and provide fast and efficient support to Ramp’s teams. The Senior Legal Counsel will cooperate with the most prominent companies from the crypto space, like crypto exchanges, token issuers, wallets, and NFTs providers.
Managing the company’s corporate legal activities
Realizing duties related to regulatory norms for US markets (MSB, MT services)
Understand the priorities, legal and regulatory needs of SEC reporting and non-SEC reporting private placement and public market issuers;
Stay up to date on SEC rules, guidance and interpretations that impact the business.
Support the compliance team with various regulatory matters and get licenses
Drafting, and negotiating legal documentation such as SaaS agreements, licensing agreements, MSA, partnerships agreements, vendors agreements, data processing agreements, NDAs
Cooperating with internal organizational stakeholders, e.g., business development, HR, Operations, and Sales;
Manage outside counsels;
+7 years of experience in a law firm or in-house, preferably in the Fintech industry
Experience with Money Services Business, Money Transmitter registration/licensing process on federal and state levels;
Knowledge of cryptocurrencies, protocols, and their legal and regulatory implications a plus;
Previous experience in a high growth startup a plus
An ability to engage constructively with internal and external stakeholders, including regulators.
